Terms & Conditions
 
1. Definitions  

 

1.1 Each of the following expressions used in these Conditions shall have the following meaning unless the context requires otherwise: 

 

“Applicable Laws” means, as to any person, all applicable constitutions, treaties, laws, statutes, codes, ordinances, orders, decrees, rules and regulations binding upon such person or to which such a person is subject.  

 

“Award Entry” means any Game, entry or submission developed or created by any Participant that is awarded a prize pursuant to the Competition (or otherwise deemed a winning entry according to the terms of these Conditions), inclusive without limitation of any methodologies, source codes, design specifications, drawings, software, program, information, documentation, data and/or material in respect thereof or in connection therewith. 

 

“Claim” means any loss, damage, cost, expense and/or liability incurred due to any circumstances, including but not limited to the following: 

  • any loss, destruction or damage of any property (including the property of the person suffering such loss, damage, cost or expense);

  • the infringement of any Intellectual Property Rights; 

  • any damage to the environment; 

  • the death or injury of any person; 

  • any economic or consequential loss or loss of profits suffered by any person and any demand or legal proceedings made or instituted in respect of such loss, damage, cost or expense (including solicitor and client costs); and/or 

  • compliance with Applicable Laws and/or obligations, 

and shall include any claims in respect of any of the above matters. 

 

“Conditions” means these Terms and Conditions of the Competition as may be revised, amended, supplemented, varied and/or replaced at the discretion of PSA from time to time, in accordance with Condition 2.10. 

 

“Competition” means the PSA BOX Challenge 2019 (or such contest of similar substance and content as may be named by PSA in its discretion).

“Intellectual Property Rights” means all intellectual property rights including patents, copyrights, trademarks, service marks, trade secrets, design rights and all other proprietary rights. 

 

“Participant” means any person who has submitted an entry in connection with the Competition and who is accepted by PSA as a participant of the Competition pursuant to these Conditions.  

 

“Party” means PSA or the Participant. 

 

“PSA” means PSA Corporation Limited and/or any affiliate as it may designate, and each of its successors and assigns.  

 

“Representatives”, as to PSA, means its directors, officers, employees, servants, agents and partners. 

 

2. Interpretation 

 

2.1 Words importing the singular number shall include the plural number and vice versa. 

 

2.2 Words importing the masculine gender shall include the feminine or neuter gender. 

 

2.3 All agreements and undertakings on the part of a party which comprise more than one person or entity shall be joint and several. 

 

2.4 All applications, orders, instructions, notices, requests, descriptions, directions, declarations, permissions, consents and other communication required or permitted under the Conditions to be made or given to PSA shall be made or given in writing or by such other mode as may be accepted by PSA. 

 

2.5 Reference in the Conditions to any statute includes a reference to such statute in force from time to time and any regulations or orders made under such statute. 

 

2.6 References to PSA shall includes its Representatives, unless the context otherwise requires. 

 

2.7 If the whole or any part of any provision of the Conditions shall be or become illegal, invalid or unenforceable for any reason whatsoever including by reason of any statutory provision or by reason of any decision of any court or any other body or authority having jurisdiction over the Parties or the Conditions, such whole or part of such provision shall be deemed to be deleted from the Conditions. 

 

2.8 The headings of the provisions of the Conditions are for reference and the convenience of the Parties only and do not define, limit or enlarge the meaning, interpretation or scope of the provisions. 

 

2.9 In the event of any inconsistency between these Conditions and any promotional or marketing material relating to the Competition, the prevailing version of these Conditions shall prevail. 

 

2.10 PSA RESERVES THE RIGHT IN ITS SOLE AND ABSOLUTE DISCRETION TO REVIEW, REVISE, AMEND, SUPPLEMENT, VARY AND/OR REPLACE ALL OR ANY PART OF THESE CONDITIONS FROM TIME TO TIME WITHOUT NOTICE. THE PREVAILING VERSION OF THESE CONDITIONS APPLICABLE FROM TIME TO TIME MAY BE FOUND ON WWW.PSABOXCHALLENGE.COM.

 

3.1 Agreement to Conditions  

 

3.1 By entering the Competition, each Participant is deemed to have fully read, understood and agreed to these Conditions.  

 

3.2 PSA reserves the right to exclude or disqualify any Participant for failure to comply with any of these Conditions or such rules and regulations of the Competition as may be notified to the Participants from time to time. 

 

3.3 Should any dispute arise in connection with the Competition or with the interpretation or implementation of these Conditions, the decision of PSA shall be final. Each Participant shall abide by and accept as final and binding all decisions taken by PSA on all matters related to this Competition. 

 

4. General Terms of Competition 

 

4.1 Duration 

 

4.1.1 The Competition shall take place from 17 Jun 2019 to 24 October 2019 (both dates inclusive). 

4.1.2 PSA reserves the right to alter the duration of, cancel, suspend or terminate the Competition at any time without prior notice and without incurring any liability to any person in connection with such alteration, cancellation, suspension or termination. 

 

4.2 Eligibility and Registration 

 

4.2.1 The Competition is open to students currently enrolled in any Full Time Singapore local polytechnic or university for the full duration of the Competition. 

 

4.2.2 Participants may register their participation at www.psaboxchallenge.com. 

 

4.2.3 Participants may enter the Competition as a single-member team or form a team of no more than 5 members. 

 

4.3 Criteria and Objectives 

 

4.3.1 Participants are required to develop a mixed engineering and information technology solution to transport miniature containers from a yard to a vessel in the shortest time (the “Delivery Product”). The following are the basic criteria and objectives of the respective engineering and information technology components of the Delivery Product:
 

a)      the Participants are required to build/assemble a delivery machine which:

  • is capable of being controlled remotely;

  • is able to lift and transport miniature containers;

  • is able to capture the QR code/barcode image on the miniature containers and transmit it to an interface for interpretation;

  • is able to transmit and stream the front view of the current equipment; and

  • (optional) has a sensor to detect environment or delivery machine status and transmit it to an interface for display, or other innovative ideas; and
     

b)      the Participants are required to construct a simple web-based interface which:​

  • is able to receive and process the QR code/barcode image on the miniature containers transmitted by the delivery machine;

  • is able to receive and stream the front view of the current equipment transmitted by the delivery machine for display of current location; and

  • (optional) is able to receive and display environment or delivery machine status transmitted by the delivery machine, or other innovative ideas.

 

4.4 Submissions 

 

4.4.1 By making a submission, each Participant warrants to PSA that the Delivery Product it submits has not in any way been contracted to any third party, submitted or entered in any other robotics/drone flying contest or similar event anywhere in the world, or otherwise made available or known to or accessible by the public in any form. PSA reserves the right to disqualify any submission or entry that does not satisfy the foregoing. 

 

4.4.2  The Delivery Product can be built from scratch or tweaked from products available in the market.

 

4.4.3 The Delivery Product must not contain material that is, in PSA’s opinion, inappropriate, dangerous, derogatory, indecent, obscene, distasteful, defamatory or slanderous. The substance and content of the Delivery Product must not, in PSA’s opinion, promote bigotry, racism, hatred or harm against any group or individual or promote discrimination based on race, gender, religion, nationality, disability, sexual orientation or age.

 

4.4.4  Participants shall make all submissions (including the interface of the Delivery Product) in English. PSA reserves the right to disqualify any submission or entry that is not made in English.

4.5 Competition Details

 

4.5.1 The Competition shall comprise a Preliminary Round and a Final Round, details of which are set out in these Conditions. The indicative timeline for the Competition is set out below:

  • Registration Period: [17 June 2019 – 14 July 2019]
     

  • Preliminary Round: Proposal Pitch/Presentation: [22 July 2019 - 2 August 2019]
     

  • Preliminary Round Results: Shortlisting of Finalists: By [8 August 2019]
     

  • Final Round: Challenge & Presentation [24 October 2019]
     

All information submitted shall be typed and presented using Arial font size 11 with 1.5 line spacing and should not exceed eight A4 pages, including images or appendices (if any). The information should be submitted in PDF format and should not exceed 5 MB in size.

4.5.2 Preliminary Round: Proposal Pitch/Presentation
 

a)      In the Preliminary Round, Participants are required to make a 5 minutes presentation and attend a 5 minutes questions and answer session with the judging panel in relation to their Delivery Product.
 

b)      Participants are required to submit the following information in advance of the Preliminary Round:
 

  • Team Profile: Team name, Member(s) name(s), School.
     

  • Delivery Product Profile: Name and specifications of Delivery Product (estimated dimension, weight, functionality, speed, interface etc).
     

  • Pitch/Presentation: 5 mins presentation, including the use of slides/video/or any other creative medium.
     

  • Supporting Materials (Optional): Drawings/images of Delivery Product.
     

c)      The submission of the proposal pitch/presentation is to be made via a submission link to be notified to the Participants, and the submission needs to be made by 21 July 2019. Submissions and entries received after 21 July 2019 shall not be shortlisted.
 

4.5.3 Final Round: Challenge & Presentation

a)      In the Final Round, Participants who have been shortlisted as finalists are required to participate in a 15 minutes challenge followed by a 5 minutes presentation and a 5 minutes questions and answer session with the judging panel after the challenge.
 

b)      Participants are required to submit the following information in advance of the Final Round:

  • Post-Challenge Pitch/Presentation: 5 mins presentation, including the use of slides/video/or any other creative medium.
     

  • Delivery Product: Device that is able to transport miniature containers from yard to vessel
     

  • User Manual Guide: Details on how to get the Delivery Product running
     

c)      Each Delivery Product needs to comply with the below specifications:​

  • Maximum Size

    • Land-based - maximum of 40cm length X 40 cm breadth

    • Air-based - maximum of 80cm length X 80 cm breadth, weight of up to 3KG

  • Maximum Speed

    • Air-based - maximum of 1 metre /second​

  • Capability

    • Lift miniature containers (25cm length X 10cm height X 10cm breadth)

    • Transport miniature containers from own yard to vessel

    • Interpret QR code/barcode image on miniature containers which will return a container number
       

d)      Depending on the number of teams in the Final Round, each session of the challenge will be made up of 3-4 teams concurrently trying to transport and stack the greatest number of miniature containers from the yard to the vessel. Each session will take 15 minutes.​
 

e)      Container Information

  • Each type of miniature container holds a different value.

  • The types of miniature container are as follows:

    • General Purpose

    • Reefer

    • Dangerous Goods
       

f)      Each team will:

  • draw lots to decide on the location they are starting from;
     

  • not be allowed to leave their boundary (ie. the control center);
     

  • have limited number of miniature containers – there shall be the same number of container types across all teams;
     

  • move in the same direction, except airborne equipment;
     

  • be given a document (word/csv/xls) before the start of the challenge, which will contain a list of the container number and its container type; and
     

  • need to scan the QR code/barcode image on the miniature container to extract the container number to map to the container type.
     

g)      Play Board Information:

  • Rough Board Size – 8m length X up to 1m height X 6m breadth
     

  • Road Width (for Delivery Product) – 100cm
     

  • The vessel will be located at the other end of the yard
     

  • Each container type will need to be stacked in the corresponding correct area of the vessel
     

  • Each team will be given their own yard and space, and they are not allowed to block the traffic with their containers
     

  • Containers cannot be stacked on the road, only on allocated yard/vessel space.
     

  • Containers need to be stacked within the drawn yard space of 24 cm length X 10 cm breadth
     

h)      Sample Point Systems

  • Loading containers to the correct section of the allocated space on the vessel will gain points for the Participant
     

  • Collision will lose points for the Participant
     

  • Dropping or toppling any container will lose points for the Participant
     

  • No point will be awarded for wrong container placement
     

4.5.3 Post Challenge (Applicable for Top 3 Winning Team only)
 

a)      The top 3 winning Participants shall hand over their respective Delivery Products to PSA, including all code segments and everything else connected to the Delivery Product

4.6 Judging Panel

 

4.6.1 PSA shall appoint a panel of judges to evaluate the submissions.

 

4.6.2 All decisions made by the panel of judges shall be final. PSA shall not entertain any correspondence, enquiry, appeal or protest before, during or after the Competition.

 

4.7 Prizes and Publicity 

 

4.7.1 The prizes for the Competition are as follows:

  • First Prize: S$5,000

  • Second Prize: S$3,000

  • Third Prize: S$1,500

  • Fourth Prize to Eighth Prizes: S$300 
     

4.7.2 PSA is not obliged to award any prize if it (or its panel of judges) does not deem that the submissions are of the requisite or appropriate standard. 

 

4.7.3 PSA reserves the right to modify the Competition prizes as and when necessary without prior notice. 

 

4.7.4 Prizewinners shall be announced following the final presentation of shortlisted entries. Prizewinners will be featured on PSA’s communication platform. 

 

4.7.5 Prizewinners may not exchange non-cash prizes for cash or any other merchandise or services. If for any reason an advertised prize is unavailable, PSA may substitute a prize of equal or comparable value to be awarded. 

 

4.7.6 All cash or bank cheques must be deposited within 6 calendar months from the date of issuance of the cheques. No new cheques shall be issued if the cheque expires before it is banked or encashed. 

 

4.7.7 Prize winners, save for the top 3 winners, will be able to keep their Delivery Products.

4.7.8 Prize winners shall solely bear all applicable taxes in connection with the receipt of the prize.

 

4.8 Others  

 

4.8.1 Each team of Participants will be assigned mentor(s) by PSA, who will guide the team on PSA’s terminal business or technicalities regarding their Delivery Product. 

 

4.8.2 Subject to compliance with the terms of entry and exit into PSA’s premises, Participants are required after their registration to join a complimentary guided port tour and briefing session. Participants shall obey all directions given by PSA while in any part of PSA’s premises. 

 

5. Provision, Use and Disclosure of Information 

 

5.1 Participants shall provide truthful, complete and accurate information in respect of all submissions made to PSA, including but not limited to contact and personal information. 

 

5.2 In the event that the Participant provides Personal Data to PSA in the course of exercising any rights, fulfilling any obligations, or doing anything related to or arising out of the Competition or these Conditions, the Participant undertakes and warrants that it has obtained all necessary consents required under the Personal Data Protection Act 2012 for PSA to collect, use and/or disclose such Personal Data for all the relevant purposes which PSA requires. For the purposes of these Conditions, “Personal Data” means data, whether true or not, about an individual who can be identified (i) from that data; or (ii) from that data and other information to which PSA and/or the Participant has or is likely to have access. 

 

5.3 Each Participant expressly permits PSA (or any third party acting on PSA’s behalf) to carry out the following acts or exercise the following rights, without (i) requiring prior notification to the Participant; (ii) any payment or compensation to the Participant or (iii) holding PSA liable or responsible in respect of any consequent third party use (unauthorized or otherwise) pursuant to PSA carrying out such acts or exercising such rights: 

 

5.3.1 Publish the Participant’s actual name, nationality, age and/or photograph online, in print, or in any other media, in connection with the Competition; 

 

5.3.2 Use information that the Participant provides during the course of the Competition for marketing or other commercial purposes; 

 

5.3.3 Take photographs, videos and/or make electronic recordings of the event or process of the Participant during the Competition; 

 

5.3.4 Use and edit the Participant’s photographs, videos and other media for educational, promotional and/or commercial purposes; 

 

5.3.5 Retain full ownership rights of such photographs, videos, recordings and other media; 

 

5.3.6 Broadcast and publish at PSA’s discretion any or all of such photographs, videos, recordings and other media (and modifications thereof) on any platform for promotional, commercial or other purposes; 

 

5.3.7 Participate in publicity or other promotional, marketing or commercial activities relating to the Competition at any time during or after the Competition. 

 

6. Intellectual Property and Publications 

 

6.1 All Intellectual Property Rights whatever in or related or ancillary to: 

 

6.1.1 any information or materials provided by PSA to the Participant; and

 

6.1.2 the Top 3 Award Entry,

 

and any customisation, enhancement, development, modification, copy, translation, adaptation or derivation thereof, shall remain vested in and be the absolute property of PSA. No rights whatsoever in connection with the foregoing are granted to or retained by the Participant. 

 

6.2  The Participant(s) of the Top 3 Award Entry shall grant to PSA the exclusive, perpetual, irrevocable, worldwide and royalty-free right to use (including but not limited to develop, modify, reproduce, publish and dispose of) and commercially exploit such Award Entry, without any obligation of attribution, consent or compensation and shall, at PSA’s request, obtain the execution and delivery of any instrument that may be appropriate to assign the Intellectual Property Rights in such Award Entry to PSA in so far as required to give effect to the foregoing.

 

6.3 The Participant warrants and represents that all information, submissions and entries provided and all things done by the Participant does not infringe any Intellectual Property Rights of any third party, and it owns or has all necessary rights to grant the rights contemplated hereunder. Should a third party claim that PSA’s processing and use of such information, submissions and entries infringes its Intellectual Property Rights, the Participant shall fully indemnify PSA against all Claims of whatsoever nature arising out thereof or in connection therewith. The Participant shall, at PSA’s option and at the Participant’s expense, do all such acts and things either to render the use of such information, submissions and entries non-infringing or obtain the requisite consent, approval or licence from such third party granting PSA the right to continue using such information, submissions and entries. 

 

6.4 Without prejudice to Condition 6.3, the Participant shall: 

 

(a) promptly and fully notify PSA of any actual, threatened or suspected infringement or third party Claim on any Intellectual Property Rights in connection with the Participant’s submissions or entries;  

 

(b) at its expense do all such things as may be required to cure such infringement or third party Claim; and 

 

(c) not cause or permit any action which may damage or endanger any Intellectual Property Rights of PSA or lead to any Claims in respect of Intellectual Property Rights against PSA, or to assist or allow others to do so and in particular, the Participant agrees :  
 

  • not to remove, suppress or modify in any way any proprietary marking, including any trade mark or copyright notice, in the information provided by PSA to the Participant and to incorporate such proprietary markings in any copies of such information; and 
     

  • not to register, directly or indirectly, any patent, trademark, service mark, trade name, company name, internet domain name or other proprietary or commercial right that is identical or confusingly similar to the Intellectual Property Rights of PSA or that constitute translations thereof into another language. 

 

6.5 The provisions of this Condition 6 shall fully apply notwithstanding that a Participant may decline any award or prize. 

 

7. Measures by PSA and Compliance with Laws 

 

7.1 Notwithstanding any other provisions of these Conditions, PSA shall be entitled immediately and at any time to carry out such acts or measures which may be required for the prevention or reduction of risk of any Claim suffered by PSA, including the cessation of Competition.  

 

7.2 The Parties shall comply with all Applicable Laws affecting the Competition. 

 

 

8. Confidentiality 

 

8.1 The Participant shall not disclose to any person any information or material in any form (including analyses, compilations, forecasts, studies, research, data, photographs, drawings, videos, specifications, designs and software programs, and any other document or information) provided by PSA in connection with the Competition or these Conditions, without the prior written consent of PSA. 

 

8.2 Unless otherwise approved by PSA, the Participant shall not disclose or make available to the public any information in connection with the Game created or developed by the Participant. This Condition 8.2 shall survive the completion, termination, expiry, cancellation, cessation or invalidation of the Competition in respect of all Award Entries. 

 

 

9. Indemnity and Liability 

 

9.1 To the fullest extent permitted by law, each Participant agrees and undertakes at all times to: 

 

a)      be fully liable for and indemnify and hold harmless PSA from any Claims that may arise out of or pursuant to the Participant’s participation or conduct in, or any act or omission or activity of the Participation connected with, the Competition, including but not limited to the breach of any of these Conditions or any Applicable Laws; and 

 

b)      accept all risks of personal injury, property damage or other loss or liability of any nature whatsoever that may arise from the Participant’s making or creation of any submission, or entry or participation in this Competition or any activity connected therewith, and shall not in any way hold PSA responsible for any Claim which the Participant may sustain or incur. 

 

9.2 If, for any reason, any aspect of the Competition is not capable of running as planned, including by reason of infection by computer virus, network failure, bugs, tampering, unauthorised intervention, fraud, technical failure or any cause beyond the control of PSA which corrupts or affects the administration, security, fairness, integrity or proper conduct of the Competition, PSA may at its sole discretion cancel, terminate, modify or suspend the Competition, or invalidate any affected submission, and shall not be liable for any claims, action, damage, or loss as a result of such cancellation, termination, modification, suspension or invalidation. 

 

9.3 To the fullest extent permitted by law, PSA shall not be responsible for any loss, damage, cost or expense howsoever arising incurred by any Participant in connection with the Competition, including but not limited to the collection, use and disclosure of personal data of any Participant, collection and subsequent use of any award or prize, or any unreadable, incomplete, mutilated, tampered or irregular entry, any breakdown, malfunction, malware or compromise in or of any computer system or equipment, or any notice which is misdirected or lost. 

 

9.4 The provisions of this Condition 9 shall survive the completion, termination, expiry, cancellation, cessation or invalidation of the Competition. 

 

10. Assignability 

 

10.1 The rights and obligations of each Participant under these Conditions are personal to the Participant only and save as expressly permitted by these Conditions, shall not be assigned or shared in any way to or with any person without the prior consent of PSA. 

11. Governing Law and Settlement of Disputes  

 

11.1 These Conditions shall be governed by and construed in accordance with the laws of Singapore. 

 

11.2 All Participants hereby submit to the exclusive jurisdiction of the competent courts of Singapore.
